The passage and enactment of House Bill 1073, effective August 26, 2001, lifts the 5 year reinstatement period limitation for business entities that have been administratively dissolved. As a result, entities that have been administratively dissolved for more than five years may now be reinstated.

The following steps are required when applying for administrative reinstatement:

  • Complete an application for administrative reinstatement (Form B-08).
  • Complete an Annual Report for each year that is delinquent.
  • Determine if the corporate name is available by conducting a name search on our website or by contacting an Information Specialist at the number listed below.
  • Submit the Reinstatement Application and delinquent Annual Reports, along with the appropriate filing fees (listed below) to the Annual Reports unit of the Corporations Division.

Application for Reinstatement: $100

Annual Report: $25.00 each for the years 1991 forward for Business Corporations
$200.00 each for the years 1991 forward for Limited Liability Companies and Limited Liability Partnerships
