Below is a summary of the procedures, laws and guidelines to obtain a professional
business entity license through the NC Medical Board.

TO FORM A PROFESSIONAL CORPORATION OR
PROFESSIONAL LIMITED LIABILITY COMPANY
FOR THE PRACTICE OF MEDICINE
Prior to filing Articles of Incorporation or Articles of Organization with the Secretary
of State’s office you must first receive certification from the North Carolina
Medical Board, (NCMB), that the Professional Corporation or Limited Liability Company
has met all requirements of Chapter 55B of the North Carolina General Statutes and
the North Carolina Medical Board’s Rules and Regulations to practice medicine
in the state.
Information concerning the Medical Board’s rules and regulations and the appropriate
application forms may be viewed and downloaded from the web site
www.ncmedboard.org . Forms are found through the Instructions for filing
documents link under the Corporations and LLC link on the main page.
To file for registration and certification from NCMB you will be required to send
NCMB:
- A notarized P.L.L.C.-1
form Certificate of Organizing Members or a
notarized P.C.-1 form Certificate
of Incorporators ( you may download this form at the Medical
Board web site)
- One of the following forms (obtained from the NC Secretary
of State):
- Articles of Organization for a Professional Limited Liability Company
- Articles of Incorporation for a Professional Corporation
- Articles of Conversion for a Professional Corporation or Limited
Liability Companyand a copy of documentation duly authenticating existence
from the state of NC.
- Application for Certificate of Authority Foreign Professional
Corporation and supporting documentation duly authenticating existence from
the state of incorporation
- Application for Certificate of Authority Foreign Professional
Limited Liability Company and supporting documentation duly authenticating
existence from the state of organization.
- Business Address form (you may download this form at
the NCMB web site)
- A registration fee of $50.00
Upon execution by the NCMB, the original Articles and one copy of the PC 1 or PLLC
1 Certificate of Incorporators, plus the state required PC2/PLLC2 and PC3/PLLC forms
will be returned to the filer for filing with the Secretary of State. Please do
not send a check or forms for NCMB to forward to the Secretary of State. The NCMB
issued certification must be included with the Articles when filing with the Secretary
of State’s office.
UPON RECEIPT BY YOU OF THE FILED ARTICLES OF CORPORATION/ORGANIZATION FROM THE SECRETARY
OF STATE, PLEASE FORWARD A COPY TO THE MEDICAL BOARD’S OFFICE WITH THE FILING
DATE AND TIME INDICATED.
BIENNIAL RENEWAL OF CERTIFICATE OF REGISTRATION
All NCMB professional businesses are required to renew their registration biennially.
The biennial renewal is due by December 31 of each oli year. Businesses will be
sent notification for renewal during the fourth quarter of each oli year to the
address on file with the Medical Board. Failure to renew your registration will
be cause for suspension under State Statute NCGS 55B-13.
CHANGE OF ADDRESS
All NCMB registered businesses established for the practice of medicine are required
to maintain up to date contact information with NCMB. All registration renewal notification
and communications from the Medical Board for this business entity will be sent
to the address on file. Changes of address forms may be obtained at the NCMB website.

ISSUE OR TRANSFER STOCK OR OWNERSHIP
All issuance or transfer of stock in a Professional Corporation or issuance or transfer
of ownership in a Professional Limited Liability Company requires certification
of licensure from the NC Medical Board.
Prior to the issuance or transfer of stock you must submit the following to NCMB:
- A letter stating the name of the business and the name of the individual licensed
to practice medicine in the state of North Carolina who will be issued/transferred
stock or ownership.
- Certification of licensure fee of $15.00 per additional shareholder/ownership
Upon execution by NCMB a Certificate Authorizing Transfer
for each newly alied licensee will be issued and must be permanently retained by
the corporation.
NAME CHANGE REQUEST FOR P.C. AND P.L.L.C.s
To file with the Secretary of State Articles of Amendment
to change the name of your Professional Corporation or Limited Liability Company
you must first receive authorization from NCMB. To obtain authorization submit to
NCMB:
- Articles of Amendment (obtained from the Secretary of
State) or a written letter requesting a name change. The letter must state the current
business name and the proposed new name.
- After review NCMB will return to you certification indicating we have no objection
to the name change.
- After filing the name change with the Secretary of State, please send NCMB a filed
copy.
CHANGE OF REGISTERED AGENT
Please notify the Board if you change the Registered Agent for your business entity
by sending a copy of the Articles of Amendment for Agent Change
filed with the Secretary of State.
DISSOLUTION OF A PROFESSIONAL CORPORATION OR LIMITED LIABILITY COMPANY
You are required to notify NCMB of the dissolution/closing of your medical business
by either:
- Copy of the Articles of Dissolution filed with the N.C.
Secretary of State
- Letter stating the name of the business and the effective date of dissolution
